Terms of Service
The agreement between you and books78 for using the books78 app, its API and its connections to other services.

These Terms of Service (the “Terms”) govern your use of the books78 app at app.books78.com, the books78 API, and the connections they make to other services (together, the “Service”). The Service is provided by books78 (“books78”, “we”, “us”). By creating an account, accepting an invitation or using the Service, you agree to these Terms. If you use the Service for a business, a firm or another organization, you agree to them on its behalf and confirm that you have the authority to do so; “you” then means both you and that organization. Our Privacy Policy explains how we handle information and forms part of these Terms.
1. Definitions
- Workspace: the account of a firm or a business in books78, with its owners, members and companies.
- Company: a set of books kept in a workspace.
- Customer Data: everything you, the people you invite, or services you connect put into the Service, including transactions, contacts, documents and attachments.
- Connected Service: a service run by someone else that you choose to connect to the Service, such as QuickBooks Online, a bank through Plaid, or Stripe.
2. The Service
books78 is accounting software. It keeps a company’s books, imports them from other systems, connects to banks and other services, and produces reports. The Service is currently offered as a beta. We may add, change or remove features as it develops, and we will give reasonable notice before removing a feature you rely on.
3. Eligibility and accounts
- The Service is for businesses and the professionals who keep their books. You must be at least 18 years old to use it.
- Give accurate information when you sign up, and keep it up to date.
- Keep your sign-in details and your two-step verification factor secure and to yourself. You are responsible for all activity under your account.
- Tell us promptly at hello@books78.com if you believe someone has accessed your account without permission.
4. Workspaces, roles and the people you invite
Workspace owners and admins decide who may see and change each company, and are responsible for the people, agents and API keys they give access to. If you keep books for clients, you confirm that each client has authorized you to put its information into the Service, to connect its accounts, and to give others access to it.
5. Your data
- You keep all rights in your Customer Data. As between you and us, it belongs to you or to the business whose books it is.
- You grant us a limited right to host, copy, process and display Customer Data only as needed to provide, secure and support the Service for you, and as described in our Privacy Policy. We do not sell Customer Data or use it for advertising.
- You can export a company’s books at any time, including while your workspace is read-only.
- You are responsible for the accuracy and lawfulness of Customer Data, and for having the rights and consents needed to put it into the Service.
- Don’t store information the Service is not designed for, such as full payment card numbers, passwords for other services, or health records.
6. Automation and AI features
Some features suggest or carry out work for you, such as reading documents, categorizing transactions, matching bank activity or preparing entries. They act only within the permissions and autonomy settings your workspace chooses, and their results can be wrong. You remain responsible for reviewing what they produce and for anything you approve or allow them to do.
7. Not professional advice
The Service is a tool. It does not provide accounting, tax, legal or financial advice and does not replace a qualified professional. You are responsible for your books, your filings and your decisions, including checking imported data and the results of any automated feature.
8. Connected Services
When you connect a Connected Service, you authorize us to exchange data with it on your behalf, as that connection describes. Its own terms and privacy policy govern your relationship with its provider. We are not responsible for Connected Services, their availability or the data they provide, and a provider may change or end its service in ways that affect the Service. You can disconnect a Connected Service at any time.
QuickBooks and Intuit are trademarks of Intuit Inc. Plaid and Stripe are trademarks of their owners. books78 is not made, sponsored or endorsed by them.
9. The API
You may use the API to connect your own systems to the Service. Keep API keys secret, give each the least access it needs, and revoke any key you believe is exposed. Use of the API must stay within its published rate limits and these Terms.
10. Acceptable use
You agree not to, and not to let anyone else:
- use the Service in violation of any law or regulation, or to defraud or harm anyone;
- access, or try to access, data, workspaces or accounts that are not yours;
- probe, scan or test the Service’s security, or get around any of its limits or protections, without our written permission;
- interfere with the Service or place an unreasonable load on it;
- upload malware or anything that infringes others’ rights;
- copy, resell, sublicense or reverse engineer the Service, except as the law expressly allows.
11. Fees and payment
- Paid plans are billed through Stripe, at the price and on the terms shown when you subscribe.
- Prices do not include taxes, which you pay where they apply.
- We will give you at least 30 days’ notice before a price change applies to you.
- If a payment fails or a subscription ends, the workspace becomes read-only: you can still see and export everything, but cannot add or change records until the subscription is restored.
- Fees are non-refundable, except where the law requires otherwise or we agree in writing.
12. Our rights
The Service, including its software, design and documentation, belongs to books78 and its licensors and is protected by law. These Terms give you the right to use the Service while they are in effect; they do not transfer any ownership. If you send us feedback or suggestions, we may use them without obligation to you.
13. Suspension and termination
- You may stop using the Service at any time. To close a workspace or have a company deleted, write to us at hello@books78.com.
- We may suspend access that threatens the security or stability of the Service or other customers, or that breaches these Terms. Where we reasonably can, we will tell you first and give you a chance to fix the problem.
- We may end these Terms on 30 days’ written notice, or immediately if you materially breach them and do not cure the breach after notice.
- When a company leaves the Service, you receive a full export first. Its data is then kept and deleted as our Privacy Policy describes. Sections 5, 7, 12 and 14 to 17 survive the end of these Terms.
14. Disclaimer
We work hard to keep the Service accurate, secure and available, but it is provided “as is” and “as available”. To the fullest extent the law allows, books78 disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted or error-free.
15. Limitation of liability
To the fullest extent the law allows, books78 will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business or data, however caused. Our total liability for all claims relating to the Service is limited to the greater of the fees you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred US dollars. These limits do not apply where the law does not allow them.
16. Indemnity
You will defend and indemnify books78 against third-party claims, and the resulting losses and reasonable costs, that arise from Customer Data you were not entitled to provide, or from your use of the Service in breach of these Terms or of the law.
17. General
- Changes. We may update these Terms. We will change the date above and, for material changes, email workspace owners at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
- Notices. We send notices to the email address of your account or of your workspace’s owners. Send notices to us at hello@books78.com.
- Events beyond control. Neither of us is responsible for delays or failures caused by events beyond reasonable control.
- Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of the business, with notice to you.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service. If a provision is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it.
